Common questions
Who is a small company?
Under the Nigeria Tax Act 2025, a limited company with both yearly turnover of ₦100 million or less and fixed assets under ₦250 million. Professional services firms are excluded whatever their size. Small companies pay no company income tax, capital gains tax or development levy. Other companies pay 30% company income tax and a 4% development levy on profit.
Is a business name the same as a company?
No. A business name (sole trader or partnership) is not a separate taxpayer. Its profit is the owner’s personal income and is taxed at the personal income tax rates, where the first ₦800,000 a year is tax-free.
Which expenses can I deduct?
Costs spent wholly and necessarily to run the business: stock, shop rent, staff pay, utilities, transport, repairs and similar. Personal spending and fines cannot be deducted. Keep receipts for everything.
What is e-invoicing and does it affect me?
The Nigeria Revenue Service is moving businesses to electronic invoices sent through its system. Large companies started in 2026; small businesses are expected to follow in 2027–2028.
Estimate only, not tax advice. Profit here is sales minus expenses; tax law may treat some items differently (for example capital allowances instead of asset purchases). Some sectors have special rules. Confirm your position with the Nigeria Revenue Service.
